Termination
Either party may terminate enterprise agreements in writing when material obligations remain uncured after a commercially reasonable cure period specified in the order form. Upon termination, licenses to SkyVector Dynamics software cease except for copies reasonably retained for legal or archival purposes subject to confidentiality duties. Survival clauses—including liability limitations, intellectual property, and governing law—remain in force after termination where applicable under Republic of Korea commercial practice.
Service description
SkyVector Dynamics supplies anti-aircraft radar target tracking simulator packages, related integration services, training, and support as described in statements of work or catalog listings. Features, performance envelopes, and interfaces are defined in product datasheets; marketing pages summarize but do not override executed contracts. Professional services are scoped separately; out-of-scope requests require written change control.
Liability
Except where prohibited by applicable law, aggregate liability arising from each twelve-month period is limited to fees paid for the specific offering giving rise to the claim. Neither indirect nor consequential damages are recoverable except in cases of intentional misconduct or gross negligence as determined under competent jurisdiction in the Republic of Korea. Simulator outputs are training aids; customer decisions based on them remain the customer's responsibility.
Acceptance
By accessing hubnodex.digital, requesting quotations, or executing an order, you acknowledge review of these Terms of Use and applicable product schedules. If you act on behalf of an organization, you represent authority to bind that organization. Electronic acceptance and click-through acknowledgments have the same effect as signed counterparts where permitted by law.
User obligations
Customers must provide accurate technical contacts, maintain secure lab environments, and comply with export classification and end-user restrictions communicated during sales. Reverse engineering, circumvention of license keys, or redistribution of software outside licensed seats is prohibited except where mandatory law allows. You will not use offerings to develop unlawful surveillance capabilities or to violate third-party rights.
Governing law
These terms are governed by the laws of the Republic of Korea without regard to conflict-of-law rules that would refer to another jurisdiction. Venue for disputes shall reside with courts located in Seoul, unless a mandatory consumer protection rule in your jurisdiction requires otherwise. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Intellectual property
SkyVector Dynamics retains all rights to software, documentation, scenario libraries, and branding except for the limited licenses expressly granted to customers. Feedback you provide may be used to improve products without obligation of payment unless a separate innovation agreement states otherwise. Customer data supplied for integration remains customer-owned subject to processing terms in the Privacy Notice.
Definitions
Capitalized terms match definitions in order forms; undefined terms carry industry-standard meanings in defense training procurement. “Affiliate” means any entity controlling, controlled by, or under common control with a party. “Deliverables” means software media, license keys, documentation, and professional services outputs expressly listed as deliverables.
Warranties and disclaimers
Products are warranted materially as described in the applicable warranty exhibit for the offering purchased; implied warranties are disclaimed to the fullest extent permitted. No warranty extends to third-party hardware not sold by SkyVector Dynamics. Remedies are limited to repair, replacement, or refund at SkyVector Dynamics' election unless mandatory law requires additional remedies.
Fees and taxes
Fees are stated in KRW unless another currency is agreed in writing; taxes, duties, and wire fees are borne as specified in invoices. Late payments may accrue interest at the statutory commercial late rate where lawful. Withholding taxes require timely provision of valid certificates to apply treaty rates.
Compliance and audit
Customers agree to maintain license metering records for enterprise deployments and permit reasonable audits on notice during business hours. Audits shall not unreasonably interfere with operations; findings are confidential. Export and sanctions compliance questionnaires must be answered accurately before shipment of controlled items.
Changes to these terms
We may update these Terms of Use to reflect product, legal, or security developments; material changes will be posted with a revised last-updated date. Continued use after posting constitutes acceptance where permitted; enterprise customers under active contracts follow change clauses in their master agreements. Archived copies are available on request for prior versions tied to your contract year.
